Terms of Service

These Terms of Service (“Terms”) govern access to and use of the SkillPulse platform, websites, chat-platform bots, and related services (the “Service”) provided by SkillPulse, Inc. (“SkillPulse”, “we”, “us”). By creating an account, placing an order, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “Customer” refers to it. A signed order form or master agreement between Customer and SkillPulse takes precedence over these Terms where they conflict.

1. The Service

SkillPulse delivers AI-powered microlearning inside Microsoft Teams, Slack, and Google Chat, including post-meeting learning nudges, manager-guided skill paths, spaced repetition, assessments, analytics, and LMS interoperability (xAPI/cmi5/SCORM/LTI). We may improve or modify features over time, and will not materially degrade core functionality during a paid subscription term.

2. Accounts and access

  • You must provide accurate registration information and keep credentials confidential.
  • Customer is responsible for its authorized users’ compliance with these Terms and for configuring roles, permissions, and integrations (including SSO/SCIM) appropriately.
  • You must be at least 16 years old to use the Service.

3. Subscriptions, trials, and billing

  • Plans. The Service is offered per seat: License at $9.99/user/month (volume discounts of 5% at 10+ seats and 10% at 100+ seats, USD or CAD by billing country); and Organization under a custom annual contract (including SSO, SCIM, LMS connectors, RBAC, and API access). Current pricing is at getskillpulse.com/pricing.
  • Annual discount. Annual billing is discounted 10% relative to monthly pricing.
  • Free trial. Paid self-serve plans start with a 14-day free trial; your payment method is not charged until the trial ends. Cancel before the trial ends to avoid charges.
  • Billing. Fees are billed in advance for each billing period (monthly or annual) via our payment processor, Stripe. Prices exclude taxes, which are added where applicable. Seat counts may be increased at any time; charges are prorated.
  • Cancellation. You may cancel at any time, effective at the end of the current billing period. Except where required by law, fees are non-refundable.
  • Changes. Price changes take effect at your next renewal, with at least 30 days’ notice.

4. Acceptable use

You agree not to:

  • Use the Service in violation of law or third-party rights, or for any harmful, fraudulent, or deceptive activity.
  • Attempt to probe, breach, or circumvent security or tenant isolation, or access data of another customer.
  • Reverse-engineer, copy, resell, or provide the Service to third parties except as expressly permitted.
  • Upload malicious code or content that is unlawful, infringing, or harassing.
  • Use the Service or its AI outputs to develop a competing product, or scrape the Service by automated means.
  • Exceed or circumvent seat, rate, or API limits of your plan.

We may suspend access for violations that threaten the security or integrity of the Service, with notice where practicable.

5. Customer content and data

  • Your content stays yours. Customer retains all rights in content and data submitted to the Service (“Customer Content”), including learning content authored by Customer. You grant us a limited license to host and process Customer Content solely to provide and support the Service.
  • Our collection and handling of personal data is described in our Privacy Policy.
  • We may use aggregated, de-identified usage data to operate and improve the Service.

6. SkillPulse intellectual property

The Service, including software, models’ orchestration, learning-science algorithms, the Pulse Engine™ (patent pending), documentation, and branding, is owned by SkillPulse and its licensors. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used without restriction or obligation.

7. AI features

Portions of the Service use third-party AI models (see the Privacy Policy for our AI subprocessors). AI-generated content may contain errors and is provided for learning-support purposes; it is not professional advice. Customer is responsible for reviewing AI-assisted learning content it publishes to its users.

8. Third-party platforms

Use of SkillPulse inside Microsoft Teams, Slack, or Google Chat is also subject to those platforms’ terms. We are not responsible for third-party platforms, their availability, or changes to their APIs that affect Service functionality, though we will use reasonable efforts to maintain integrations.

9. Confidentiality

Each party will protect the other’s confidential information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by equivalent obligations, or as required by law.

10. Disclaimers

EXCEPT AS EXPRESSLY STATED IN AN ORDER FORM, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SKILLPULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE FEES PAID OR PAYABLE BY CUSTOMER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO A PARTY’S INDEMNIFICATION OBLIGATIONS, BREACH OF CONFIDENTIALITY, OR INFRINGEMENT OF THE OTHER PARTY’S INTELLECTUAL PROPERTY.

12. Indemnification

SkillPulse will defend Customer against third-party claims that the Service infringes intellectual-property rights, and Customer will defend SkillPulse against claims arising from Customer Content or Customer’s unlawful use of the Service — in each case subject to prompt notice, control of the defense, and reasonable cooperation.

13. Term, suspension, and termination

  • These Terms apply while you use the Service or hold a subscription.
  • Either party may terminate for material breach not cured within 30 days of written notice.
  • On termination, Customer’s access ends and Customer may export its data for 30 days, after which we delete Customer Content per our retention schedule in the Privacy Policy.

14. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada (excluding conflict-of-law rules), and the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario. [Placeholder — governing law and venue to be confirmed by counsel.]

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to Customer admins at least 30 days before taking effect; continued use after the effective date constitutes acceptance.
